End User License Agreement (EULA)
1. Introduction
This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you (either an individual or a single entity, "Licensee" or "you") and JiaLiChuang (HongKong) Co., Limited ("JLCPCB", "we", "us", or "our") governing your use of JLCCAN, a SOLIDWORKS add-in, including all related components, updates, documentation, and associated services (collectively, the "Software").
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THIS EULA, DO NOT INSTALL, COPY, OR USE THE SOFTWARE.
By agreeing to this EULA, you also agree to comply with our Terms of Use and Privacy Policy, which are incorporated herein by reference and form an integral part of this Agreement.
2. License Grant
Subject to your compliance with this EULA, JLCPCB grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for your personal or internal business purposes, free of charge.
This license does not grant you any rights to:
- Sell, resell, rent, lease, or sublicense the Software to any third party.
- Use the Software to provide services to third parties (including as a service bureau or on a time-sharing basis) without prior written consent from JLCPCB.
- Distribute, transfer, or make the Software available to any third party.
3. License Restrictions
You agree not to, and will not permit others to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
- Modify, adapt, translate, or create derivative works based on the Software.
- Remove, alter, or obscure any proprietary notices, labels, or marks from the Software.
- Use the Software in any manner that violates applicable laws or regulations.
- Use the Software to develop a competing product or service.
- Circumvent or bypass any technical limitations, license validation, or security features in the Software.
4. Intellectual Property Rights
The Software is licensed, not sold. JLCPCB and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. This EULA does not grant you any ownership rights in the Software.
All trademarks, service marks, logos, and trade names used in connection with the Software are the property of JLCPCB or their respective owners.
SOLIDWORKS is a registered trademark of Dassault Systèmes SOLIDWORKS Corp. Any references to SOLIDWORKS within the Software or related materials are for compatibility and interoperability purposes only. JLCPCB is not affiliated with, endorsed by, or sponsored by Dassault Systèmes.
5. Updates and Modifications
JLCPCB may, at its sole discretion, provide updates, upgrades, patches, or new versions of the Software ("Updates"). This EULA applies to all Updates unless a separate license is provided with the Update.
JLCPCB reserves the right to modify, suspend, or discontinue the Software or any part thereof at any time without prior notice. We may also change the terms of this EULA from time to time. Material changes will be communicated through our website or within the Software. Your continued use of the Software after such changes constitutes acceptance of the updated terms.
6. Term and Termination
This EULA is effective from the date you install or first use the Software and continues until terminated.
You may terminate this EULA at any time by uninstalling the Software and ceasing all use of it.
JLCPCB may terminate this EULA immediately, without prior notice, if you breach any term of this Agreement. Upon termination:
- All rights granted to you under this EULA will immediately cease.
- You must immediately stop using the Software and delete all copies of the Software in your possession or control.
Sections 3, 4, 7, 8, 9, 10 and 11 shall survive termination of this EULA.
7. Disclaimer of Warranties
The Software is provided on an “as is” and “as available” basis, without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, JLCPCB does not warrant that:
- The Software will meet your specific requirements or expectations.
- The Software will operate uninterrupted, error-free, or free from bugs or defects.
- Any errors or defects in the Software will be corrected.
- The Software is compatible with all versions of SOLIDWORKS or other third-party software.
You acknowledge that the Software is a tool intended to assist with engineering and design tasks. You are solely responsible for verifying the accuracy, completeness, and suitability of any output, calculations, or results generated through the use of the Software. Under no circumstances shall JLCPCB be liable for any engineering decisions, design errors, manufacturing defects, safety incidents, or any other consequences arising from reliance on or use of the Software. Professional engineering judgment must always be exercised independently of the Software.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall JLCPCB, its affiliates, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or the cost of procurement of substitute goods or services, arising out of or in connection with this EULA or the use of or inability to use the Software, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if JLCPCB has been advised of the possibility of such damages.
In no event shall JLCPCB's total aggregate liability to you exceed the amount you have paid to JLCPCB for the Software in the twelve (12) months preceding the claim. As the Software is provided free of charge, if no payment has been made, JLCPCB's liability shall be limited to the minimum amount permitted by applicable law.
9. Indemnification
You agree to indemnify, defend, and hold harmless JLCPCB, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Software, your violation of this EULA, or your violation of any third-party rights.
10. Export Compliance
You agree to comply with all applicable export control, sanctions, and trade laws and regulations of Hong Kong and any other jurisdiction applicable to your use, transfer, or access to the Software. You represent and warrant that you are not prohibited from receiving or using the Software under any applicable sanctions, embargo, or export control restrictions.
11. Data Collection and Privacy
The Software may collect limited technical and usage data to support activation, improvement, and troubleshooting purposes. This may include software version, feature usage statistics, error reports, and diagnostic information.
JLCPCB does not use the Software to collect the contents of your SOLIDWORKS documents, design files, or other proprietary engineering data. You should not use the Software to process, transmit, or store any data that you consider sensitive or confidential unless you have independently verified that appropriate security measures are in place.

12. Governing Law and Dispute Resolution
This EULA shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law principles.
Any dispute arising out of or relating to this EULA shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the competent courts of Hong Kong.
Nothing in this section shall prevent JLCPCB from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
13. Severability
If any provision of this EULA is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to achieve the intended purpose to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
14. Entire Agreement
This EULA, together with the Terms of Use and Privacy Policy, constitutes the entire agreement between you and JLCPCB regarding the Software and supersedes all prior or contemporaneous agreements, communications, and proposals, whether oral or written, relating to the subject matter hereof.
No waiver of any term of this EULA shall be deemed a continuing waiver of such term or a waiver of any other term.
